Article 1 –
FOUNDING – NAME – REGISTERED OFFICE
A club is founded by the name of FIPA Cyprus (Friends of
Cyprus Historic & Old Cars). The registered office of the club is in
Nicosia, Cyprus.
Article 2 - OBJECTS
The objects of FIPA Cyprus are:
2.1.
The co-operation with other organizations in
Cyprus and abroad and the promotion of friendship and co-operation among
them.
2.2.
The exchange of experiences and opinions on
technical, historical and touring issues, and in general on subjects of
mutual interest.
2.3.
The co-operation with other organizations
that are interested in the Classic Car movement in Cyprus and abroad, that
share common objectives and the exchange of information on subjects of
mutual interest.
2.4.
To contribute and encourage Tourism in Cyprus
and to promote Cyprus internationally by organizing shows and rallies with
classic vehicles.
2.5.
The acquisition, restoration and
maintenance of old, rare, or historic vehicles in the categories as laid
down by the International Rules of FIVA
(Fédération Internationale des Véhicules Anciens).
2.6.
The organization of shows and rallies with
old and historic vehicles in the class they represent according to the
rules laid down by the International Organization that deals with the old
vehicles FIVA (Fédération
Internationale des Véhicules Anciens).
2.7.
The organization of such events for charity
purposes.
2.8.
The collection of material on classic
vehicles, such as books, photographs, newspapers, magazines etc for use by
its members.
2.9.
The encouragement and promotion of the sprit
of love for the old car in general.
2.10.
The publication of articles and magazines on
subjects of the club’s interests, which will be distributed free to its
members.
2.11.
The admission
of FIPA Cyprus as a member of the International
Federation for Old Vehicles FIVA (Fédération Internationale des
Véhicules Anciens) and the acquisition of the ANF of FIVA, the issuing of
FIVA Identity cards to all the People of Cyprus as well as all other
rights and privileges FIVA ANF members have.
THE CLUB’S OBJECTIVES MAY ALSO BE
FURTHERED BY:
2.12.
The organization of classic, rare or historic
car rallies, picnics, games, and all types of events, film shows, meetings
and lectures on various subjects for our members.
2.13.
The acquisition of a meeting place for our
members.
2.14.
The publication of an official news letter or
magazine which will be distributed free to all the club’s members and the
publication of articles in other magazines and newspapers.
2.15.
The creation of a special library monitoring
the local and international historic vehicle movement.
2.16.
To seek after and co-operate with other
organizations, business entities and services for the benefit and serve
the interests of our members.
2.17.
The organization of meetings for the exchange
and provision of information on the classic cars sports movement and other
relevant subjects.
Article 3 - MEMBERS
3.1.
The following categories of FIPA Cyprus
members exist:

Founding
Members. They are
the members who have signed these Articles of Association and are the
founders of FIPA Cyprus, and enjoy all the rights of Ordinary Members.
·
Ordinary
Members. Persons
over 18 year of age who are interested in promoting the objects of
FIPA Cyprus, or are owners of old vehicles, may apply to the Management
Committee to become Ordinary Members of FIPA Cyprus. The
application must be supported by two Ordinary Members of FIPA Cyprus.
The Management Committee reserves the right to refuse
an application for membership without being obliged
to give a reason as to its refusal.

Honorary Members.
Are appointed by the Management Committee to
persons who are considered of benefit to FIPA Cyprus, or in recognition of
the services rendered for the promotion of the objectives of
FIPA Cyprus. Honorary Members have no voting
rights.
3.2.
Founding and Ordinary Members who have
settled their financial obligations have the right to vote and be elected
in General Meeting.
Article 4 –
ACCEPTANCE AND WITHDRAWAL OR DISMISSAL OF MEMBERS
4.1.
An application to join the Club is made to
the Management Committee. The Registration Fee is five Cyprus Pounds
(£5.00). Apart from this amount, a member must pay an annual membership
fee as defined in article 7 below. The Management Committee accepts or
rejects the application. In the event of an application being rejected,
the applicant may appeal to the General Assembly requesting the decision
of the Management Committee to be revoked and appointed a member. The
General Assembly decides by secret ballot. The decision of the General
Assembly is final.
4.2.
The Management Committee may
increase/decrease the above financial obligations.
4.3.
Any member may retire from FIPA Cyprus. The
decision to retire should be made known at least one month before the end
of the calendar year and is valid as from the end of that year.
Article 5 –
DISCIPLINARY COMMITTEE
5.1.
If a member of FIPA Cyprus with his/her
actions breaks the Law or acts in a way contrary to the objects of FIPA
Cyprus or commits a severe civil offence, or commits actions in order to
deceive or defame FIPA Cyprus, then the Disciplinary Committee imposes to
him/her one of the following punishments, according to the severity of the
offence.

A written
notice/observation.
·
A severe written
reprimand.
·
A temporary or
permanent deprivation of the right to participate in some or all of the
events of FIPA Cyprus.
·
The demotion of a
member from his/her position, after it has been approved by the General
Assembly.
·
The permanent
dismissal from the club after it has been approved by the General
Assembly.
5.2.
The decision of the General Assembly to
permanently dismiss a member or the one to demote a member from his
position is taken at an Extraordinary General Meeting where a majority of
two thirds (⅔) of the members present who have settled their financial
obligations is needed.
5.3.
The Disciplinary Committee consists of three
Members and two replacement members, one of which must be a member of the
Management Committee and appointed by the Committee as a permanent member
of the Disciplinary Committee right after the formation of the Management
Committee. The other two members are chosen by secret ballot at the
General Assembly.
5.4.
The Disciplinary committee meets and is
formed into a body within 7 days from the General Assembly and elects in a
secret ballot its President and Secretary. The Disciplinary Committee is
said to constitute a quorum when all three of its members are present. The
term of office of the Disciplinary Committee is 2 years.
Article 6 –
RIGHTS AND OBLIGATIONS OF MEMBERS
6.1.
All Members have the right to participate in
all events of FIPA Cyprus.
6.2.
All Members are responsible to do their best
in fulfilling the objects of FIPA Cyprus and offer their services during
the various events performed by FIPA Cyprus.
6.3.
All Members must pay their membership fee as
defined herein below and must abide to the decisions of the Management
Committee.It
is understood that all members must pay their membership fees every year.
A Member who neglects to pay for three consecutive years is expelled from
the club. He may reapply for membership if he wishes to, by following the
application procedure as in Article 4 above.
Article 7 - INCOME
7.1.
Members’ registration fees as defined in
article 4 above.
7.2.
Annual membership fee, the amount of which is
decided by the Management Committee and covers the period of one calendar
year from the 1st of January to the 31st of December
of the same year.
7.3. Income
from grants, sponsoring and other donations, inheritance, revenues from
events organized by FIPA Cyprus or any other income that may be legally
obtained by FIPA Cyprus.
Article 8 – MANAGEMENT COMMITTEE
8.1.
A seven (7) member Management Committee is
elected by the Ordinary Members of FIPA Cyprus every two years during the
Annual General Meeting. Applications for filling the elected positions are
submitted to the Secretary of the club at least 48 hours prior to the
General Assembly and are supported by 2 Ordinary Members.
8.2.
The elected Management Committee meets and
forms into a body within 7 days from the Annual General Meeting by
electing by secret ballot the President, Vice President, Secretary,
Treasurer and 3 Members.
8.3.
The old Management Committee continues to run
and manage FIPA Cyprus until the new Management Committee is formed into
body.
8.4.
The Management Committee meets regularly at
least 6 times a year or exceptionally when called by the President or
after a written application of 2 of its members stating the reason for the
meeting. In the second case, the President calls the meeting within 10
days from the day he/she receives the written application.
8.5.
Four (4) members of the Management Committee
form a quorum.
8.6.
The decisions of the Management Committee are
taken by simple majority.
8.7.
During every meeting the Secretary takes the
minutes. These are approved at the next meeting and signed by the
President and the Secretary.
Article 9 –
ANNUAL GENERAL MEETING
9.1.
The Annual General Meeting takes place once a
year, not earlier than 10 months and not later than 14 after the previous
Annual General Meeting. All the Founding and Ordinary Members have the
right to participate at this meeting as per article 3 of these Statutes.
9.2.
The Secretary calls the Annual General
Meeting in writing at least 21 days before.
9.3.
The Annual General Meeting is considered to
constitute a quorum when half plus one of the voting members are present.
9.4.
If a quorum is not reached within half an
hour of the appointed time, then, all voting members present constitute a
quorum.
9.5.
The General Assembly transacts the following
business:

Approves the
minutes of the previous General Assembly.
·
Elects the Members
of the Management Committee according to article 8.1.
·
Appoints the
auditors.
·
Approves the Budget
of income and expenditure for the following year.
·
Approves the report
of the Management Committee on the previous year’s events.
·
Amends the Articles
of Association.
9.6.
All members, apart from the Honorary Members,
who have been members for three (3) consecutive years and have fulfilled
their financial obligations have the right to be elected in any official position of the club.
9.7.
All members who have
been members for three (3) consecutive yeas and have
fulfilled their financial
obligations have the right to vote and be elected, except the Honorary
Members.
Article 10
– EXTRAORDINARY GENERAL MEETING
10.1.
All General Meetings apart of the Annual will
be called Extraordinary General Meetings.
10.2.
The Management Committee decides if it deems
it necessary to call an Extraordinary General Meeting. An Extraordinary
General Meeting is also called for if at least 15 members ask for it in
writing for any serious reason.
10.3.
The same provisions that apply to the Annual
General Meeting apply also to the Extraordinary General Meeting.
Article 11
–AUDITING COMMITTEE
The financial accounts are audited by an Auditing
Committee, which is elected by the Annual General Meeting.
The Auditing team consists of 2 club
members or one (1) auditor
from an authorized Accounting Body, who are appointed yearly by the General
Assembly.
Article 12
– THE PRESIDENT
The President, apart from the duties and
powers vested to him/her by the previous articles, has the following
responsibilities:
12.1.
Represents the club legally. On special
circumstances the Management Committee may appoint a lawyer or lawyers or
any other person to legally represent FIPA Cyprus.
12.2.
Represents the club in all events and reports
on behalf of the Management Committee during the General Assembly.
12.3.
Together with the Secretary is responsible
for the correct implementation of the present Articles.
12.4.
Together with the Secretary calls the
meetings of the Management Committee and presides during these meetings.
12.5.
Together with the Secretary co-signs all
outgoing documents and performs the correspondence of the FIPA Cyprus.
12.6.
Pre-signs the issued payment vouchers of the
FIPA Cyprus and together with the Treasurer binds the Bank Account of FIPA
Cyprus.
Article 13
– THE VICE PRESIDENT
The Vice President replaces the President in all his duties
in his absence.
Article 14
– THE SECRETARY
The Secretary, apart from the duties and rights given to
him by the previous articles, has the following responsibilities.
14.1.
Represents FIPA Cyprus in all events together
with the President.
14.2.
Together with the President is responsible
for the correct implementation of the present Articles.
14.3.
Together with the President call the meetings of the Management Committee.
14.4. Together with the President co-signs all outgoing
documents and performs the correspondence of FIPA CYPRUS.
14.5. Keeps the FIPA Cyprus minutes of the meetings and
of General Assemblies, the correspondence files and
keeps it’s seal
Article 15
– THE TREASURER
The Treasurer has the following duties and
responsibilities.
15.1.
He is responsible for the property of FIPA
Cyprus.
15.2.
He keeps the Accounting books and records of
FIPA Cyprus.
15.3.
He is responsible to collect all money due
and to issue receipts.
15.4.
Together with the President’s signature he
withdraws money from and binds the Bank Account of FIPA Cyprus.
15.5.
He is always willing and in a position to
give information to the Management Committee and the General Meetings
about the financial status of FIPA Cyprus.
15.6.
He must deposit to the Bank Account any
amount held over fifty Cyprus Pounds (£50.00).
Article 16
– EMPLOYMENT OF PERSONNEL
FIPA Cyprus may employ personnel to assist in the running
of the club.
Article 17
– AMENDMENT OF STATUTES
These articles of the statutes of FIPA Cyprus may be
modified or amended by decision of the Annual General Meeting with a
three-quarters (¾) majority of the members present who have the
right to vote and who are considered
to constitute a quorum.
Article 18
– AMENDING THE OBJECTS
The objects of FIPA Cyprus are amended by a three-quarters
(¾) majority decision of the members present at the Annual General
Meetings who have the right to vote and who are considered to form a quorum.
Article 19
– DISSOLUTION OF FIPA CYPRUS
FIPA Cyprus is dissolved by decision at the Extraordinary
General Meeting that is called for especially for this reason and which is
decided by simple majority of the members that are present. In case FIPA
Cyprus is dissolved, its wealth is disposed of by decision of the
Extraordinary General Meeting at the same meeting to a charity and under
no circumstance will it be shared to its members.
Article 20 – EMBLEM
The FIPA CYPRUS use the following
emblem. In case a new emblem is chosen, then this will be done according
to the provisions of the legislation and these Articles.

Article 21 – GENERAL PROVISIONS
21.1.
Any matter not anticipated, or for
which no provision has been made in these Statutes, or any vagueness or
ambiguity in the said articles, then the
Management Committee decides upon it.
21.2.
The club is not responsible for any third
party indemnity for an accident or damage to its members, or guests, or
any other foreign person during any kind of event, competition or game
organized by the Club.
Article 22 – APPROVAL AND ADOPTION OF THE CONSTITUTION
These Articles of Association have been
compiled, approved, signed and adopted by the founding Members of the
Friends of Cyprus Historic & Old Cars in Nicosia on the 3rd of
March 2004.
